General Commercial Practice

We are experienced in advising clients in connection with their general commercial operations. We provide services to our clients including multinational corporations and well-known Chinese companies in relation to direct sale, distribution, import and export, franchising, lease, product liability, safety, environment and quality supervision. We provide legal opinions, draft and review contracts and participate in negotiations. In providing our services, we not only look into the legal issues, but also endeavor to understand the clients’ business and commercial requirements so that the client’s business interests can be better protected.

Corporate

Corporate practice is a core practice area of our firm. We are experienced in handling foreign direct investment and M&A projects. We frequently assist our foreign clients in the establishment of wholly foreign owned enterprises, Chinese-foreign equity joint ventures and contractual joint ventures in China. We assist our multinational clients in acquisition projects in China, including conducting legal due diligence, drafting and negotiating equity transfer contracts, asset transfer contracts, joint venture contracts and other project documents and attending to approval formalities.

Logistics

Some of our lawyers act as legal counsel for well known logistic companies in China and have handled numerous litigation cases relating to international marine cargo transportation and air transport cases. We are familiar with the operation procedures of logistics, marine and air transport and well as international treaties and domestic legislations on international transportation of goods.

Intellectual Property

We advise our clients in contentious and non-contentious intellectual property matters, including copyright, patent, trademark and unfair competition. We assist companies in handling patent and trademark applications and assist clients in the license and transfer of copyright, patent and know how and trademarks. We represent our clients in litigation and arbitration proceedings in connection with intellectual property disputes and unfair competition cases.

Employment

We provide services in the area of employment and HR management, including advising clients on labor laws and regulations, assisting clients in formulating their labor and HR rules and systems, reviewing and drafting employment contracts and handling labor dispute arbitration and litigation cases. A number of our lawyers act as legal counsel for State owned enterprises and foreign investment enterprises in the area of labor and HR management.

Property

We are experienced in providing services to clients in connection with real property development, real property transfer, property management and establishment, development and operation of industrial parks. Our service areas include: construction project planning and approval, construction project tendering, project construction contract management, the grant and transfer of land use rights, real property development and operation, real property transactions and registrations, property lease and property management as well as real property financing.
Litigation and Arbitration

We have a substantial litigation practice. We represent our clients in the litigation of complex commercial disputes at both trial and appellate levels. We also represent our clients in simple cases such as labor disputes. We are also experienced in arbitrations and frequently represent our clients in arbitration proceedings including CIETAC arbitration.
